Lead Director Network

The Lead Director Network (LDN) brings together a select group of up to 20 lead directors, presiding directors, and non-executive chairmen from America's leading companies for private discussions about how to improve the performance of their corporations and earn the trust of their shareholders through more effective board leadership. The inaugural meeting took place in July 2008.

The sixth meeting of the Lead Director Network was held in New York City on March 2, 2010.  Members discussed two topics: the lead director's role in major transactions and the lead director's role in board succession planning.  Members agreed that the lead director's role as an adviser to management and the board throughout a major transaction is critical.  In addition, members discussed the importance of developing a robust board succession planning process.

The fourth meeting of the Lead Director Network was held in New York City on July 8, 2009. Members discussed company risk management practices and board risk oversight duties, including the role of the lead director.

Responding to the changing regulatory and legislative environments (PDF) - March 25, 2009
The third meeting of the Lead Director Network (LDN) was held in Washington, DC, on March 3, 2009.  Lead directors met with Senator Evan Bayh (D-IN), a member of the US Senate Committee on Banking, Housing, and Urban Affairs, for a discussion of how corporate directors might interpret and respond to today’s changing regulatory and legislative environments.  Members also discussed their top public policy concerns.

The second meeting of the Lead Director Network (LDN) was held in New York City on November 3, 2008. Members began the meeting with an overview of the issues confronting U.S. companies, their boards, and lead directors in today’s turbulent economy. The discussion also included the role of the board and the lead director in corporate strategy.

The role and value of the lead director (PDF) - July 30, 2008
Members of the LDN met in New York City for the network’s inaugural meeting. Members discussed the origins and value of the lead director role. The conversation also covered a broad overview of key issues confronting lead directors, with members agreeing that a deeper exploration would occur at future meetings of the LDN.

The LDN comprises lead directors, presiding directors, and independent non-executive chairmen, typically representing complex, global enterprises with approximately $5 billion+ in annual revenue. LDN members must serve in their capacities as lead directors for longer than one year. LDN membership is by invitation only and currently includes members who serve as lead directors, presiding directors, or non-executive chairmen at the following companies:
